BONUS REWARDS PROGRAM TERMS

These Bonus Rewards Program Terms (these “Program Terms”) apply to every Participating Property that has executed a Bonus Rewards Subscription Addendum (an “Addendum”) with Guestbook Rewards, Inc. (“The Guestbook”). These Program Terms are incorporated into each such Addendum by reference. Capitalized terms not defined herein have the meanings given in the applicable Addendum or in the Participating Property Service Provider Agreement between the parties, as amended (the “Agreement”). In the event of conflict, the Addendum controls over these Program Terms, and both control over the Agreement solely with respect to the Guestbook Subscription.
1. Definitions
(a) “Bonus Rewards" means additional Rewards offered to Guests by Participating Property above and beyond the standard Rewards offered through the Services.
(b) “Bonus Rewards Program" means the enhanced functionality offered by The Guestbook that enables Participating Property to offer Bonus Rewards to Guests within its booking engine and other direct marketing channels, based on parameters set by Participating Property from time to time.
(c) “Guestbook Subscription” or “Subscription” means the monthly recurring pre-pay subscription program that provides access to, and partially or fully funds, theBonus Rewards Program.
(d) “Go-Live Date” means the date on which the Integrated Rewards Functionality was first made live on Participating Property’s booking engine.
(e) “Subscription Term” means a twelve (12) month period.
(f) “Bonus Rewards Balance” means the account balance maintained by The Guestbook for Participating Property that is used to offset invoiced Bonus Rewards.
(g) “Guestbook-Funded Bonus Rewards Amount” means the portion of the Base Subscription Amount that The Guestbook allocates monthly to the Bonus Rewards Balance, at the percentage stated in the Addendum.
2. Activation
Participation in the Subscription is optional and is designed to support Participating Property’s direct booking growth. Participating Property elects to participate by executing an Addendum through its duly authorized representative. Upon execution, The Guestbook will make the Bonus Rewards Program functionality available to Participating Property, and Participating Property may use that functionality as of the Effective Date of the Addendum. The Subscription itself, and the accrual of the Guestbook-Funded Bonus Rewards Amount to the Bonus Rewards Balance, begin on the subscription start date determined under the Addendum.
3. Bonus Rewards Funding
Bonus Rewards are invoiced to Participating Property at the percentage Participating Property elects, subject to any minimum or maximum set by The Guestbook from time to time, applied to the Eligible Charges for each applicable booking. For example, if Participating Property offers an additional three percent (3%) in Bonus Rewards for stays over select dates, the Bonus Rewards will be invoiced at a rate equal to three percent (3%) of the Eligible Charges amount.
During an active Subscription, The Guestbook allocates the Guestbook-Funded Bonus Rewards Amount monthly to the Bonus Rewards Balance, which is used to partially or fully offset invoiced Bonus Rewards. Any remaining Bonus Rewards Balance carries forward to the next month for so long as the Subscription is active.
4. Top-Up Fees
If, in any month, the total Fees payable under the Agreement exceed the Base Subscription Amount, Participating Property will be invoiced for the amount of the excess (the “Top-Up Fees”). Top-Up Fees are invoiced, payable, and subject to dispute in accordance with the payment terms set forth in Section 7 of the Agreement.
5. Subscription Fee Recovery
Because the Base Subscription Amount is generally derived from the third lowest monthly invoice amount among the qualifying months of the preceding twelve (12) months, and because Bonus Rewards promotions are typically deployed to drive incremental new bookings during softer months, total Fees are generally expected to equal or exceed the Base Subscription Amount. If total Fees for a given month, excluding any applicable Guestbook Guarantee credits, are less than the Base Subscription Amount, The Guestbook will allocate the difference toward additional Bonus Rewards in the Bonus Rewards Balance for the following month.
6. Guestbook Guarantee
Bonus Rewards are issued outside the scope of the Guestbook Guarantee. The Guestbook Guarantee applies only tototal invoiced amounts excluding Bonus Rewards.
7. Reporting
The Guestbook will provide Participating Property with a monthly report or reports summarizing activity associated with the Bonus Rewards Balance and the Guestbook-Funded Bonus Rewards Amount.
8. Cancellation, Renewal, and Wind-Down
Cancellation and non-renewal notice periods are set forth in the Addendum. Discontinuation of the Subscription does not terminate or otherwise affect the Agreement. Upon cancellation or non-renewal, any unspent portion of the Bonus Rewards Balance for the then-current month may be used through the end of that calendar month, after which the Subscription terminates and any remaining Bonus Rewards Balance is forfeited.
9. Updates to These Program Terms
The Guestbook may update these Program Terms from time to time on not less than thirty (30) days prior written notice (email sufficient) to Participating Property. No update to these Program Terms will change the Base Subscription Amount or the Guestbook-Funded Bonus Rewards percentage stated in the Addendum during the then-current Subscription Term. If Participating Property does not accept an update, it may discontinue the Subscription in accordance with the Addendum.
10. Survival
Provisions relating to payment obligations, invoicing, and confidentiality set forth in these Program Terms, the Addendum, and the Agreement survive termination or expiration of the Subscription.
